Newell was critical of managers taking bungs. There is a bit of a difference between that and something that is written into a contract. One is legal the other isn't. Having said that I can't see the justification for managers demanding this type of payment, but that is down to the board.

I fail to see anything wrong with it myself. In private industry a 10%profit share is not unusual. This is a perfectly legitimate clause which is appears that he didn't exercise.
